Terms of Service

1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the WolfWhale Learning Management System and Student Information System (the “Service”) operated by WolfWhale EdTech (“WolfWhale,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a school, school division, or organization, you represent that you have the authority to bind that entity.
2. Description of Service
WolfWhale provides a cloud-based Software-as-a-Service (SaaS) platform combining:
- Learning Management System (LMS): Textbooks, micro-lessons, curriculum-aligned content, AI teacher tools
- Student Information System (SIS): Gradebook, attendance, report cards, enrollment management, parent portal
The Service is designed for K-12 educational institutions and is accessible via web browser and native iOS application.
3. User Accounts
Accounts are created by school administrators. Each user is assigned one of the following roles: Student, Teacher, Parent, Administrator, Division Admin, or Super Admin. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
4. Data Ownership
Your school owns all of its data. WolfWhale does not claim ownership of any educational records, grades, student information, or content uploaded by users.
- Schools retain full ownership and control of all data entered into the Service
- WolfWhale processes data solely to provide the Service to the school
- Schools may export their data at any time in standard formats (CSV, PDF)
- Upon termination, all school data will be exported and/or deleted within 90 days
5. Acceptable Use
You agree not to:
- Access accounts or data of other users without authorization
- Attempt to circumvent role-based access controls
- Upload malicious code, viruses, or harmful content
- Use the Service for any non-educational commercial purpose
- Reverse-engineer, decompile, or disassemble the Service
- Share login credentials with unauthorized persons
- Scrape or harvest data from the Service
6. Intellectual Property
WolfWhale Content
All WolfWhale Books textbooks, micro-lesson content, curriculum mappings, AI tools, and platform software are owned by WolfWhale EdTech and protected by Canadian Copyright Registration No. 1243132. Schools receive a non-exclusive license to use this content for educational purposes within the scope of their subscription.
User-Generated Content
Teachers and administrators retain ownership of content they create (lesson plans, assessments, comments). You grant WolfWhale a limited license to host and display this content within the Service.
7. Service Level
- We target 99.9% uptime for the Service
- Scheduled maintenance will be performed outside school hours (evenings/weekends) with advance notice
- We perform daily backups of all data with point-in-time recovery
- Critical security patches are applied within 24 hours of disclosure
8. Subscription and Payment
Subscription terms and pricing are governed by the separate Service Agreement between WolfWhale and the subscribing school or school division. This includes:
- Annual or multi-year subscription terms
- Per-student or per-school pricing models
- Payment terms and renewal conditions
9. Limitation of Liability
To the maximum extent permitted by applicable law, WolfWhale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Service
- Any unauthorized access to or alteration of your data
- Statements or conduct of any third party on the Service
- Any interruption or cessation of the Service
Our total liability shall not exceed the amount paid by your institution for the Service in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
Either party may terminate the subscription with 90 days written notice. Upon termination:
- The school may export all data in standard formats
- WolfWhale will securely delete all school data within 90 days
- Access to the Service will be revoked at end of the notice period
11. Governing Law
These Terms shall be governed by the laws of the Province of Saskatchewan, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Saskatchewan.
12. Changes to Terms
We may update these Terms from time to time. We will notify administrators of material changes at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
